Terms of Service

Welcome to ZapFlowMatic. By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

1. Services

ZapFlowMatic provides two categories of offering:

• Professional Services. Website design and build, automation setup, CRM configuration, and related implementation work, delivered under a separate written proposal or statement of work.
• Subscription Services. Access to the ZapFlowMatic software platform, including hosted websites, lead capture and routing, automated follow-up, reporting, and the features included in your selected plan. Subscription Services are provided on a recurring basis under these Terms.

Where a signed statement of work conflicts with these Terms, the statement of work controls for the Professional Services it covers. These Terms control for the Subscription Services.

2. Eligibility

You must be at least 18 years old to use our services. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business, and "you" refers to that business.

3. Accounts

We provision an account for you when your subscription begins. You agree to provide accurate, current information for that account and to keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us promptly at jim@zapflowmatic.com if you believe your account has been accessed without authorization.

Accounts are for a single business. You may not resell, sublicense, or share access with another business without our written permission.

4. Payments, Subscriptions, and Renewal

4.1 Plans and fees. Subscription Services are sold as monthly or annual plans. The fees, billing frequency, and included features for your plan are those shown at checkout and confirmed in your order confirmation email.

4.2 Authorization to charge. By providing a payment method you authorize us and our payment processor to charge that method for the subscription fees, applicable taxes, and any other charges you incur, on the recurring schedule of your plan, until you cancel.

4.3 Automatic renewal. Your subscription renews automatically at the end of each billing period, at the then-current rate for your plan, until cancelled. Monthly plans renew on the same day each month. Annual plans renew on the anniversary of your start date. We will send a renewal reminder to your account email before each annual renewal.

4.4 Cancellation. You may cancel at any time by emailing jim@zapflowmatic.com from the address on your account. We will confirm your cancellation by email within one business day. Cancellation takes effect at the end of your current billing period. You keep access through the end of the period you have already paid for. We do not prorate or refund partial periods.

4.5 Refunds. Subscription fees are non-refundable except where required by law and except as provided in section 9.3. Professional Services fees are governed by your statement of work.

4.6 Price changes. We may change subscription pricing. We will give you at least 30 days notice before a change takes effect, sent to your account email. The new price applies at your next renewal. If you do not accept the new price, cancel before that renewal date.

4.7 Failed payments. If a payment fails we will attempt to charge your payment method again and notify you. If the balance remains unpaid after 10 days we may suspend your Subscription Services. Suspension does not cancel your subscription or forgive amounts owed.

4.8 Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes on your subscription, other than taxes on our income.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the operation of our website or services
• Misrepresent your identity or affiliation
• Resell, sublicense, or provide the Subscription Services to a third party
• Share account access outside your business
• Send messages through the platform that violate anti-spam, telemarketing, or SMS consent laws, including CAN-SPAM and the TCPA
• Upload data you do not have the right to process
• Scrape, benchmark, or reverse-engineer the platform

6. Intellectual Property

All content, designs, and materials on this website are owned by ZapFlowMatic or its licensors. You may not copy, reproduce, or distribute any content without written permission.

Your data. You own the content, contact records, and business data you or your customers put into the Subscription Services ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide the Subscription Services to you. We do not sell Customer Data and we do not use it to train third-party AI models.

Websites we build. On full payment of all amounts owed, you own the content and design of your website. The underlying ZapFlowMatic platform, templates, and software remain ours.

7. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We do not guarantee specific results from using our automation tools or services.

We do not guarantee that the Subscription Services will be uninterrupted or error-free. We do not currently offer a contractual uptime commitment. Planned maintenance, third-party platform outages, and internet failures may affect availability.

8. Limitation of Liability

ZapFlowMatic shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

9. Term, Suspension, and Termination

9.1 Term. Your subscription runs from your start date and renews per section 4.3 until cancelled by you or terminated by us.

9.2 Suspension. We may suspend your access for non-payment under section 4.7, for a violation of section 5, or where continued access poses a security or legal risk. We will give notice where practical.

9.3 Termination by us. We may terminate your subscription on 30 days written notice, or immediately for a material breach you do not cure within 10 days of notice. If we terminate without cause, we refund any prepaid fees covering the period after termination.

9.4 What happens to your data. After your subscription ends, we retain your Customer Data for 30 days, during which you may request an export by emailing jim@zapflowmatic.com. After that window we will permanently delete your Customer Data and your sub-account. Export your data before you cancel.

9.5 Hosted websites. If your plan includes hosting, your website goes offline when your subscription ends. Site files and content are available for export during the same 30-day window. Domain names you own remain yours, and we will cooperate in transferring DNS.

9.6 Survival. Sections 4 (for amounts owed), 6, 7, 8, 10, and 9.4 through 9.6 survive termination.

10. Governing Law

These terms are governed by the laws of the State of Maryland, United States.

11. Changes to Terms

We may update these Terms of Service at any time. Continued use of our services after changes constitutes acceptance of the updated terms. For material changes affecting your subscription, we will give at least 30 days notice by email to your account address before they take effect.
